Terms & Conditions

1. Acceptance of Terms

By accessing or using the Solstice website at solstice.finance and the Solstice decentralised finance protocol (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

We reserve the right to modify these Terms at any time. Material changes will be posted on this page with an updated "Last updated" date. Your continued use of the Services following such changes constitutes acceptance of the revised Terms.

2. Description of Services

Solstice provides a decentralised yield infrastructure protocol built on the Solana blockchain. The Services include, but are not limited to:

  • Access to the Solstice web application for interacting with the protocol
  • USX stablecoin and related yield-bearing instruments (eUSX, strcUSX)
  • YieldVault staking and yield generation products
  • Informational content, documentation, and resources published on the website

The Services operate as a decentralised protocol. Solstice Labs provides the interface and supporting infrastructure but does not custody user funds or control protocol operations once deployed on chain.

3. Eligibility

To use the Services, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Not be a resident of, or located in, any jurisdiction where the use of the Services would be prohibited or restricted by applicable law
  • Not be subject to any sanctions administered or enforced by any governmental authority, including but not limited to the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the European Union, or the United Nations
  • Have the legal capacity to enter into a binding agreement under applicable law

4. User Obligations

When using the Services, you agree to:

  • Comply with all applicable laws and regulations in your jurisdiction
  • Not use the Services for any unlawful purpose, including money laundering, terrorist financing, or sanctions evasion
  • Not attempt to gain unauthorised access to any part of the Services or their underlying infrastructure
  • Not interfere with or disrupt the Services, including through the introduction of malware, viruses, or other harmful code
  • Not engage in any activity that could damage, disable, or impair the functioning of the Services
  • Maintain the security of your wallet credentials and private keys
  • Accept sole responsibility for all activities conducted through your wallet connection to the Services

5. Intellectual Property

All content, trademarks, logos, designs, and other intellectual property displayed on or through the Services are owned by or licensed to Solstice Labs. You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from the Services without our prior written consent.

The Solstice protocol's open-source smart contracts are governed by their respective open-source licences. These Terms do not restrict your rights under those licences.

6. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

Without limiting the foregoing, we do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We make no representations regarding the accuracy, reliability, or completeness of any content provided through the Services.

Decentralised finance protocols involve significant technical and financial risks. You acknowledge that you use the Services at your own risk. See our Risk Disclosures for additional information.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLSTICE LABS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

8. Indemnification

You agree to indemnify, defend, and hold harmless Solstice Labs and its directors, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services or any violation of these Terms.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Solstice Labs is incorporated, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall first be submitted to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration in accordance with the rules of the relevant arbitration body in the applicable jurisdiction.

10. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

11. Entire Agreement

These Terms, together with our Privacy Policy and Risk Disclosures, constitute the entire agreement between you and Solstice Labs with respect to the Services.
